    Finally, shares of CVR Energy fell 9%. The holding company agreed to exchange its stock to investors in related entity CVR Refining (NYSE:CVRR), accepting as many as 37.1 million units at a ratio of 0.6335 shares of CVR Energy for every unit of CVR Refining exchanged. In a release, CVR Energy said that “many CVR Refining unitholders may wish to hold their investment in the form of common stock rather than partnership interests” after recent tax reform legislation. But it’s unclear why CVR Energy would make an offer at a 25% premium rather than simply having CVR Refining convert to a corporate entity or use similar steps that wouldn’t adversely affect CVR Energy shareholders for the benefit of CVR Refining unitholders. CVR Refining finished the session 8% higher.

    Friday was a strong day on Wall Street, as major benchmarks finished higher by 1% to 2%. Market participants focused their attention on the April jobs report, which included a drop in the unemployment rate to 3.9%, its lowest level in more than 17 years. Nonfarm payroll gains of 164,000 weren’t extremely strong, and some saw wage growth of just 2.6% as bad news for workers. Yet from many investors’ perspective, weak wage growth is actually a positive, as it indicates a lack of inflationary pressure that’s good for most stocks. Good news regarding several key individual companies also helped stoke favorable sentiment. Apple (NASDAQ:AAPL), Kraft Heinz (NASDAQ:KHC), and California Resources (NYSE:CRC) were among the best performers on the day. Here’s why they did so well.

    Southwestern dropped $1, or 12%, to $7.35, while the S&P 500 rose3.53 points, or 0.15%,to 2367.34.

    Southwestern said it earned 8 cents a share, a nickel below the 13 cents analysts were expecting. Revenue slid 0.4% year over year to $684 million, edging past the$683 millionconsensus.

    In addition, Southwestern saidestimated proved natural gas and oil reserves declinedby 15.5%, to approximately5,253 Bcfe at the end of 2016,compared to 6,215 Bcfeat the end of 2015.

    Raymond James’s John Freeman reiterated a Market Perform rating on the stock:

    he 2017 production guidance range of 890-910 Bcfe compares to RJ/Street at 892/893 Bcfe, respectively. Capex guidance of $1.175-1.275 billion was 18% above Street at $1.04 and 13% above RJ $1.08 billion. The production growth implies the company is taking the middle road of their previous growth scenario whereby $1.25 billion/yr of capex thru 2018 translates to an 8-12% CAGR. However, in 2017, the guidance range implies 2-4% growth y/y. Exit-to-exit, SWN is expecting 20% growth vs the Street at 14%.

    Southwestern shares are down more than 32% since the start of the year.

With oil prices having more than doubled from their early 2016 low, to over $65 per barrel, traders are waking up this morning to the possibility that the long-dormant oil sector may be coming back with a vengeance.

Today’s prices allow drillers to hedge for $60 per barrel oil for over one year, meaning they now have a platform for new investment. Production recently passed its 2014 peak of 9.6 million barrels per day and is showing no signs of slowing down.

As a result, analysts are starting to pound the table for oil stocks again, especially those with relatively low debt loads. The new names are players like Jagged Peak Energy Inc.     Following a series of M&A announcements in the oilfield-services sector since the onset of the oil market downturn, French oil-field service company Technip and U.S. oilfield equipment company FMC Technologies (NYSE:FTI) hooked up in an all-stock deal valuing the combined company at $13 billion. Shareholders of each company will own 50% of the combined entity, to be named TechnipFMC, which implies a roughly $6.5 billion acquisition valuation for each entity. The transaction, which should close early next year, will “combine Technip’s innovative systems and solutions, state-of-the-art assets, engineering strengths, and project management capabilities with FMC Technologies’ leading technology, manufacturing, and service capabilities.” Further, it should save $400 million in annual costs by 2019.
